Terms of Service

The Pokora Card Agreement (this “Agreement,” together with our Privacy Policy, Fees, and any other applicable terms and conditions) forms a legally binding agreement between you, the holder of the Pokora Card (the “Client”), and Pokora, a financial technology platform.

By completing the application process, you indicate your intent to be bound by these terms, and such completion constitutes your execution of this Agreement.

• “Issuer” means the licensed financial institution or electronic money institution that issues the Pokora Card under the applicable card-network program. The Issuer is a third party and is not Pokora.
• “Service Provider” means the Issuer and/or any third-party partner engaged to facilitate card issuance, payment processing, transaction settlement, or related financial services.
• “Pokora” (also “we,” “us,” or “our”) means the Pokora platform, which operates as a program manager and technology platform. Pokora is not a bank, electronic money institution, or card issuer, and facilitates access to prepaid card products issued by its issuing partners.
• “Card” or “Pokora Card” means the prepaid card issued by the Issuer and distributed through the Pokora platform.

You must meet all of the following requirements to use the Service:

• You are at least 18 years of age.
• You are not a resident of a jurisdiction where the Service is prohibited by law.
• You are not subject to any sanctions programs administered by OFAC, the UN, the EU, or equivalent bodies.
• You have the legal right to use the cryptocurrency you deposit.

Pokora operates as a program manager and technology platform. Pokora does not issue payment cards, hold Client funds in its own accounts, or act as a bank or electronic money institution. All cards are issued by the Issuer under the applicable card-network rules. Certain restrictions, spending limits, and compliance requirements referenced in this Agreement may be imposed by the Issuer or the card network and are enforced by Pokora on their behalf.

The Pokora Card is a prepaid card issued by the Issuer that lets users top up USD value using supported cryptocurrencies (currently USDC on Solana). The list of supported cryptocurrencies and networks may change at any time without prior notice.

Cards can be used on online platforms globally that accept the applicable card networks, and may support mobile wallet payments where available. Each card additionally features a cosmetic Pokémon design; the Pokémon skin is decorative and does not affect the card’s function, balance, or acceptance.

KYC verification requirements depend on the card plan selected by the Client. Certain plans may be issued without identity verification, while others require full KYC compliance before issuance or activation. The specific requirements applicable to each plan are disclosed during the application process and within the platform. In cases of suspected fraud, suspicious activity, or chargebacks, Pokora reserves the right to close the associated card without prior notice, regardless of plan.

• KYC and application requirements depend on the card plan.
• No monthly fee. A top-up (recharge) fee applies.
• Reveal, top-up, and plan limits depend on the card plan.
• Fees applicable to card issuance, top-ups, and other transactions are displayed within the platform before you confirm.
• Funds topped up through crypto bear no interest, and the Card is not a bank account.

We reserve the right to modify our fee schedule with reasonable notice. Continued use of the Service after a fee change constitutes acceptance of the updated fees.

You must provide a valid email address to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access. We reserve the right to terminate accounts that violate these Terms or applicable law.

Cryptocurrency deposits are credited as USD value at the rate determined at the time of processing. These credits are stored as a platform wallet balance and may be used to fund Pokora Cards. Balances are not insured by any government deposit-protection scheme.

Cards are issued upon request, subject to available balance and applicable plan requirements. Card spending limits, merchant-category restrictions, and geographic availability are determined by our card-issuing partners and may change without notice. When a virtual card is closed or expires, any remaining card balance is automatically returned to your platform wallet.

You may withdraw unused platform wallet balances to a supported cryptocurrency address. Minimum amounts and any applicable timing requirements are displayed within the platform at the time of withdrawal.

• The number of cards you may hold depends on your plan tier. Higher tiers may unlock additional cards and limits.
• Pokora may set and adjust, in its sole discretion, the maximum number of cards and the applicable limits for risk-control and regulatory-compliance purposes. Payments exceeding such limits may be rejected.
• All Pokora Cards remain the property of the Issuer. The Issuer or Pokora may cancel, revoke, restrict, decline to authorize, reverse charges on, or suspend a Card at any time, including for violation of this Agreement or suspected fraud. Neither Pokora nor the Issuer is responsible for losses resulting from declined or reversed transactions.
• You are responsible for securing your account credentials, card numbers, and security features (including the CVV). Do not share your CVV under any circumstances. You are liable for unauthorized use to the fullest extent permitted by applicable law.

When you initiate a card cancellation, the system checks the card balance. If a refundable balance remains, it is returned to your platform wallet as part of the cancellation. If the balance is below the minimum refundable amount, you will be prompted to confirm cancellation without a refund. Cancellation is irreversible once confirmed.

Due to the irreversible nature of cryptocurrency transactions, all deposits are final and non-refundable. We strongly recommend verifying all amounts before confirming any transaction. In exceptional circumstances, refund requests may be reviewed at our sole discretion.

You agree not to use the Service to:

• Engage in money laundering, fraud, or any other illegal financial activity.
• Purchase illegal goods or services.
• Circumvent sanctions or export-control regulations.
• Violate any applicable local, national, or international law or regulation.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to any part of the Service or its related systems.

We reserve the right to suspend or terminate accounts that violate these restrictions and to report suspected illegal activity to relevant authorities.

All content, trademarks, logos, and software comprising the Service are owned by or licensed to Pokora. Pokémon and Pokémon character names and artwork are trademarks of their respective owners and are used under license. You are granted a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. You may not reproduce, distribute, or create derivative works without our express written consent.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, Pokora shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including losses due to cryptocurrency price volatility, network failures, or unauthorized access to your account.

You agree to indemnify and hold harmless Pokora, its officers, directors, employees, and partners from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law.

We reserve the right to modify or discontinue the Service, or any part of it, at any time. We may also update these Terms periodically. Material changes will be communicated by updating the “Last updated” date above or by other means. Your continued use of the Service after any change constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the jurisdiction in which Pokora is established. Any disputes arising under or relating to these Terms shall be resolved through binding arbitration or in the competent courts of that jurisdiction, as determined by us.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
